These Terms of Service ("Terms") govern your use of NIGHT LIFE JAPAN (the "Service"), an online platform operated by HRZN LLC ("we", "us", or "our"). By accessing or using this Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

These Terms apply together with our Privacy Policy and any other notices or policies displayed on this website.

NIGHT LIFE JAPAN is an information and listing platform for nightlife venues and related services in Japan. Through the Service, users can browse information about stores, compare options, and find places to visit.

We only provide information and listing functions. We are not:

• the operator of the listed venues, or
• a party to any contract between you and a venue, or
• a travel agency or intermediary for your bookings and payments, unless explicitly stated.

Because NIGHT LIFE JAPAN may include information about nightlife and adult-oriented establishments, you may use the Service only if:

• you are at least 18 years old (or the legal age of majority in your jurisdiction); and
• you are legally permitted in your country or region to view information related to nightlife and adult entertainment.

If you are under the applicable legal age, or if such content is not permitted in your location, you must immediately stop using the Service.

In some cases, you may need to create an account to use certain features of the Service. When creating and using an account, you agree that:

• You will register accurate, current, and complete information about yourself.

• provided directly by the venues or third parties, or
• collected and organized by us from publicly available sources.

We strive to provide accurate and up-to-date information, but we do not guarantee that any information is complete, correct, or current. Information may change without notice.

Some content may also be translated into multiple languages (for example, Japanese, English, Korean, or Chinese). These translations are provided only for convenience and may not be perfectly accurate. If there is any inconsistency, the original language information or the information confirmed directly with the venue will prevail.

When using the Service, you must not engage in any of the following acts, or any act that we reasonably deem to fall into these categories:

• Using the Service for the purpose of soliciting sales, recruiting members, advertising, religious activities, or election campaigns, unless expressly permitted by us.
• Using bots, scrapers, or other automated means to excessively access, collect, or copy information from the Service without our prior written permission.
• Attempting to reverse engineer, decompile, disassemble, or otherwise analyze the Service's source code or systems.
• Introducing viruses, malicious code, or any other technology that may damage or interfere with the Service, our servers, or other users.
• Any act that we deem to interfere with the normal operation, security, or reputation of the Service.

If we determine that you have engaged in prohibited activities, we may, at our sole discretion, restrict, suspend, or terminate your access to the Service without prior notice and may seek compensation for any damages incurred.

Any reservations, inquiries, visits, use of services, or payments made between you and a listed venue are solely between you and that venue.

• We do not manage or guarantee reservations, cancellations, payments, or any other transactions unless explicitly stated.
• We are not responsible for the quality, safety, legality, or suitability of services provided by the venues.
• We are not responsible for any trouble, dispute, damage, or loss arising between you and a venue or any third party in connection with the use of the Service.

All rights, title, and interest in and to the Service, including but not limited to text, images, photographs, logos, designs, and software, are owned by us, the venues, or other rights holders.

Except for personal and non-commercial use expressly permitted by law, you may not, without prior permission from the rights holder:

• copy, reproduce, modify, adapt, translate, or create derivative works,
• distribute, transmit, publicly display, or publicly perform, or
• otherwise use the content beyond the scope legally permitted.

We may edit or process information provided by users in a way that does not identify individuals and may use such edited information as statistical data or for improving the Service. Any resulting derivative works will belong to us.

We handle personal data in accordance with our Privacy Policy. Please review it carefully before using the Service.

By using the Service, you consent to our handling of your information in accordance with the Privacy Policy.

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we make no warranties, express or implied, regarding:

• the availability, safety, legality, or quality of any venue or service;

To the maximum extent permitted by law, we are not liable for any direct, indirect, incidental, consequential, special, or punitive damages arising out of or in connection with your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

If we are found liable notwithstanding the above, our total liability to you will be limited to the amount you have paid to us (if any) in connection with your use of the Service during the six (6) months immediately preceding the event giving rise to the claim.

We may modify, suspend, or discontinue all or part of the Service at any time, for any reason.

We may also revise these Terms from time to time. When we do so, we will update the "Last updated" date displayed on the Terms page. The revised Terms will become effective when they are posted on the Service, and if you continue to use the Service thereafter, you will be deemed to have accepted the revised Terms.

These Terms and any disputes arising out of or relating to the Service are governed by the laws of Japan, without regard to its conflict of law principles.

Unless otherwise required by mandatory law, any disputes between you and us arising out of or in connection with the Service will be subject to the exclusive jurisdiction of the courts of Japan.
